ARTICLE I - NAME
The name of this
organization shall be the MIAMI VALLEY YOUTH SOCCER ASSOCIATION, INC. referred
to in this document as MVYSA.
ARTICLE II - PURPOSE
a. The purpose of this
Association shall be:
To develop, promote and
administer the game of soccer among players under 19 years of age within the
jurisdiction of this association.
ARTICLE
III - JURISDICTION
The
jurisdiction of the MVYSA is as described in the Ohio South Youth Soccer
Association Constitution at www.osysa.com. MVYSA shall represent all members
falling within the boundary lines described in those rules and may accept
voluntary membership applications from outside this area upon approval by the
Ohio South Youth Soccer Association, Executive Director.
ARTICLE IV -
AFFILIATION
This association shall be
affiliated with Ohio South Youth Soccer Association and the United States Youth
Soccer.
ARTICLE V - MEMBERSHIP
Membership in the MVYSA
shall consist of properly registered teams. Each member team shall have voting
powers as set forth in this constitution. For membership purposes, the term
"properly registered teams" shall be interpreted to include payment
of all fees assessed by the MVYSA.
ARTICLE VI - GOVERNMENT
a. This association shall
be governed by a Board of Directors elected by the membership of the MVYSA. The
Board shall be responsible for the proper operation of the association. The
members of the Board shall be elected for a term of two years and may succeed
themselves in office. Elections shall be held at the annual meeting, with one
half the Directors elected each year.
b. Any member of the
Board of Directors who has three consecutive unexcused absences from Board
meetings may have their office declared vacant at the discretion of the Board
of Directors.
c. The majority of the
Directors serving on the Board shall constitute a quorum. The Board shall adopt
rules for conducting the business of the MVYSA and shall meet as necessary, at
such time and place as the Board may determine.
d. The Board Treasurer
shall prepare and present to the Board an annual balance sheet report at the
first regularly scheduled meeting of the year. A bi-monthly expenditure report
shall be presented at each regularly scheduled meeting.
e. Special meetings may
be called on not less than 24 hours notice upon written request and/or telecon
request of the association President briefly indicating its nature, date, time,
and place of such meeting.
ARTICLE VII -
ELECTIONS
a. The President shall,
not less than 60 days prior to an annual election, appoint a Nominating
Committee consisting of not less than two to four members, with one member from
the Board of Directors. The President shall also appoint the Chairman of the
Nominating Committee if the Vice President of Competition cannot fulfill the
responsibility.
b. The Nominating
Committee shall name not less than one consenting member for each of the
vacancies to be filled on the Board and submit a list of nominees to the Board.
c. Additional names of
candidates for the Directors positions may be nominated from the floor at the
annual meeting.
d. Election of Directors
shall be by ballot. Each member shall be entitled to cast one vote for each
vacancy to be filled on the Board. The persons receiving a plurality of votes
shall be declared elected. In case of a tie, the membership shall then vote to
elect one from the nominees receiving an equal number of votes. The Board of
Directors shall elect officers as outlined in Article IX from among the
Directors to serve for the ensuing year. The seasonal year (fiscal year) of the
MVYSA shall correspond to the seasonal year of the US Youth Soccer, which begins on
September 1st and ends on August 31st of the following year. Terms of office
shall begin on August 1st.
ARTICLE VIII-DUTIES
& RESPONSIBILITIES
a. The Board of Directors
shall:
1. Make all policy
decisions regarding the association operations.
2. Insure that the
policies of the MVYSA are not in conflict with the US Youth Soccer or the OSYSA.
3. Represent members of
the MVYSA in all dealings with the US Youth Soccer and its affiliates.
4. Establish all budgets
and fees.
5. Approve all
expenditures not included in the budget provided funds for the added
expenditure are collected in an approved manner.
6. Represent the association
and its members at all US Youth Soccer and OSYSA meetings.
ARTICLE IX - BOARD OF
DIRECTORS
a. The Directors of this
association shall consist of the following:
- President
- Registrar
- Vice President of Competition
- Vice President of Conduct
- Vice President of Player and Coaching Development
- League Directors (up to 12)
- Secretary
- Treasurer
- Scheduling Director
b. The immediate Past
President shall serve as a member of the Board for a period of one year if he
has not been reelected to the Board.
c. In addition to the
above, a representative of the Dayton Area Soccer Officials Association (DASOA)
shall be considered an ex-officio non-voting member of the Board.
ARTICLE X - MEETINGS
a. The Board of Directors
may convene meetings of the members at such time and place as it may consider
necessary or desirable. A membership meeting must be convened upon a petition
signed by not less than twenty-five percent of the active members.
b. The annual meeting of
the members of the MVYSA shall be held at a date and place to be specified by
the President of the Board of Directors. Twenty five percent of the members in
good standing shall constitute a quorum at membership meetings. The order of
business shall be as follows:

- 2. Credentials
- 3. Minutes
- 4. Communications
- 5. Reports
- 6. Unfinished Business
- 7. Consideration of Proposed Modification to the
Constitution, By-Laws, and Rules and Regulations.
- 8. New Business
- 9. Elections
- 10. Adjourn
c. Meetings of the Board
of Directors will be held as necessary for the purpose of conducting normal
business.
d. All meetings of this
association shall be conducted in accordance with the latest edition of
RobertŐs Manual of Parliamentary Rules.
ARTICLE XI -
AMENDMENTS
- This Constitution may be amended only at annual
meetings or at special meetings called for the specific purpose of
amending the Constitution. Amendments to the Constitution shall be by
two-thirds vote of the members present and voting. All members of this
association must be furnished in writing, at least 15 days in advance,
proposed amendments and notified of time, date and place of the meeting to
act on these proposed amendments. If any conflict exists between the Miami
Valley Youth Soccer Association (MVYSA) Constitution, By-Laws, and Rules
and Regulations and the Ohio South Youth Soccer Association (OSYSA)
Constitution with regards to changes made, then the OSYSA Rules shall
apply.
